Terms of Service

These terms govern your use of the Manas POSH Compliance Platform, operated by Manas Center for Mental Wellness and Counselling (“Manas”). By registering or using the platform, you agree to these terms.

1. What the platform does

The platform helps an employer become and remain compliant under the Sexual Harassment of Women at Workplace (Prevention, Prohibition and Redressal) Act, 2013 (the “POSH Act”) by generating documents, managing the Internal Committee, operating a confidential complaint channel, delivering training, and preparing statutory reports. Where engaged, Manas also provides an empanelled external member and support services.

2. The employer is the compliance authority

The employer remains the authority responsible for constituting its Internal Committee and for its POSH compliance. Documents generated for the employer are provided for the employer to review, adopt, print on its own letterhead where indicated, and sign. Manas provides templates, tooling, and domain expertise; it is not a law firm and the platform does not provide legal advice. For advice on a specific legal situation, consult an advocate.

3. External member and inquiries

Where Manas provides an empanelled external member, that member serves in an independent capacity as required by Section 4(2)(c) of the POSH Act. The conduct and findings of any inquiry are the responsibility of the Internal Committee as a whole. Fees payable to the external member for attending inquiry proceedings, and any inquiry-handling charges, are separate from the subscription and are billed as incurred.

4. Your responsibilities

You are responsible for the accuracy of the information you provide (including committee composition and member details), for issuing documents on your own letterhead where indicated, for displaying the required notices at your workplace, and for filing your annual report with the District Officer. You must keep your account credentials secure.

5. Confidentiality

Complaint information is confidential under Section 16 of the POSH Act. You agree to access and handle it only for its lawful purpose and only through authorised committee members.

6. Fees and subscription

Subscription fees, training fees, and inquiry-related charges are as set out at the point of purchase. Fees are billed to the applicable plan and are payable in advance for the subscription term. Taxes apply as applicable.

7. Limitation of liability

The platform is provided on an “as is” basis. To the maximum extent permitted by law, Manas is not liable for indirect or consequential loss, and its total liability in connection with the services is limited to the fees paid by you for the services in the twelve months preceding the claim. Nothing in these terms limits liability that cannot be limited by law.

8. Suspension and termination

Either party may terminate in accordance with the plan terms. On termination, we will retain compliance records as required by law and make reasonable provision for you to export your documents.

9. Governing law

These terms are governed by the laws of India, with courts at Bhopal, Madhya Pradesh having jurisdiction.
